1. Introduction
These Terms and Conditions (“Terms”) govern the use of all services provided through the website pagifly.com (“Website”), operated under the brand name Pagifly by Protel Wiesław Żyluk, a sole proprietorship registered in Poland (“we”, “us”, “our”, or “the Company”).
By accessing our Website, submitting a project enquiry, purchasing any service, or otherwise engaging with Pagifly, you (“the Client”) agree to be bound by these Terms in full. If you do not agree, please do not use our services.
2. Services Offered
Pagifly is a full-service web design, hosting, and online marketing agency. Our services include, but are not limited to:
- Custom website design and development (WordPress, Elementor, custom solutions)
- Logo design and brand identity design
- Digital marketing assets design (banners, social media graphics, print-ready files)
- Application and user interface (UI) design
- Website hosting (VPS-based with SSD storage, 99.9% uptime guarantee, SSL certificates, automated backups)
- Business domain name registration
- Business email hosting
- Search Engine Optimisation (SEO)
- Pay-Per-Click advertising management (PPC / Google Ads)
- Social Media Marketing (SMM)
- Local business listings and directory submissions

3. Pricing, Quotes & Payment
3.1 Service prices are listed on our Website and may vary depending on project scope and complexity. Custom quotes are provided upon request following a project consultation or Client Survey submission.
3.2 All prices displayed on the Website are net prices. Applicable taxes (including VAT where required) will be added at invoicing.
3.3 A non-refundable deposit of 30–50% of the total project value is required before work commences, unless otherwise agreed in writing. The remaining balance is due upon project completion and before final deliverables are handed over.
3.4 For ongoing services (hosting, SEO, PPC management, SMM), fees are billed monthly or annually in advance as stated in the individual service agreement.
3.5 Payments may be made by bank transfer, card payment, or any other method made available by us at the time of purchase. Late payments may incur interest at the statutory rate.
4. Orders & Project Process
4.1 An order is considered confirmed once we have received the required deposit and sent written confirmation (by email) to the Client.
4.2 Typical website design projects are delivered within 14 working days from the date we receive all required materials (content, images, brand guidelines) from the Client, subject to complexity.
4.3 The Client is responsible for providing accurate content, images, and feedback within agreed timescales. Delays in providing materials may extend the delivery timeline.
4.4 We reserve the right to decline or discontinue a project if the Client’s requirements are unlawful, unethical, or fall outside our area of expertise.
5. Delivery Policy
5.1 All services are delivered digitally. Website designs are published to the Client’s hosting environment or a staging server for review. Design files, marketing assets, and reports are delivered electronically via email, file transfer, or through our project management tools.
5.2 Hosting and domain registration services are activated within 24–48 hours of confirmed payment.
5.3 Ongoing marketing services (SEO, PPC, SMM) commence within 5 working days of contract agreement and are delivered on a recurring monthly cycle.
5.4 We will make reasonable efforts to meet agreed delivery dates but shall not be liable for delays caused by circumstances beyond our reasonable control or by the Client’s failure to provide required materials or feedback.
6. Refund & Cancellation Policy
6.1 Design Services (websites, logos, brand identity, marketing assets):
- The initial deposit is non-refundable, as it covers the time and resources allocated to begin the project.
- If the Client cancels after work has commenced but before completion, we will invoice for work completed to date. Any overpayment beyond the work completed will be refunded within 14 business days.
- Once final deliverables have been approved and handed over, no refund is available.
6.2 Hosting & Domain Services:
- Hosting subscriptions may be cancelled at any time. Refunds are not provided for the current billing period but service will remain active until that period expires.
- Domain name registrations are non-refundable once the domain has been registered with the registrar.
- Email hosting follows the same cancellation terms as website hosting.
6.3 Marketing Services (SEO, PPC, SMM, Local Listings):
- Monthly marketing contracts may be cancelled with 30 days’ written notice.
- Fees already paid for the current service period are non-refundable, but work will be completed through the end of the paid period.
- Any third-party advertising spend (e.g. Google Ads budget) is non-refundable once committed to the advertising platform.
6.4 Refunds, where applicable, will be processed to the original payment method within 14 business days.
7. Client Obligations
The Client agrees to:
- Provide accurate and complete information and materials necessary for project execution.
- Review and respond to drafts and deliverables within 5 business days unless otherwise agreed.
- Ensure that all content provided to us does not infringe any third-party intellectual property rights.
- Keep login credentials, hosting access, and account details secure.
- Comply with all applicable laws when using our services and the deliverables we provide.
8. Intellectual Property
8.1 Upon receipt of full and final payment, all intellectual property rights in the custom work created specifically for the Client (website design, logo files, brand assets) are transferred to the Client, unless otherwise agreed in writing.
8.2 We retain the right to showcase completed projects in our portfolio and marketing materials unless the Client requests otherwise in writing.
8.3 Third-party assets (stock images, fonts, plugins, templates) remain subject to their respective licences. We will inform the Client of any such licences that apply.
8.4 Any pre-existing intellectual property, code libraries, frameworks, or tools owned by us that are incorporated into the deliverables remain our property. The Client receives a perpetual, non-exclusive licence to use them as part of the delivered project.
9. Limitation of Liability
9.1 We will perform all services with reasonable skill and care. However, to the fullest extent permitted by law, our total liability for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
9.2 We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, data, or business opportunities.
9.3 We are not responsible for any downtime, data loss, or service interruptions caused by third-party providers (hosting infrastructure, domain registrars, advertising platforms).
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation survives the termination of any service agreement.
11. Data Protection & Privacy
We process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Our Privacy Policy, available on pagifly.com, describes in detail how we collect, use, store, and protect personal data. By using our services, you acknowledge and consent to such processing.
12. Force Majeure
Neither party shall be held liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, war, government action, pandemic, power failure, internet outages, or cyberattacks.
13. Governing Law & Disputes
13.1 These Terms are governed by the laws of the Republic of Poland.
13.2 Any disputes arising from these Terms shall first be attempted to be resolved amicably. If no resolution is reached within 30 days, the dispute shall be submitted to the competent court having jurisdiction over the registered seat of the Company.
14. Amendments
We reserve the right to update or modify these Terms at any time. The revised Terms will be posted on pagifly.com with an updated effective date. Continued use of our services after changes have been published constitutes acceptance of the updated Terms.
